RESTRICTIVE COVENANT
(1) While working on an assignment for Doctors per Diem Inc., you agree you will only accept payment for your professional services from Doctors per Diem, Inc.
(2) You agree that the specific identity of all hiring practices, including the location of the practice, is _confidential and privileged_ information and is not to be disclosed to ANY third parties, including other search firms, competitors of our client or other potential job candidates, regardless of whether or not you accept that specific position. The term "confidential and privileged" includes without limitation, all communications with Doctors Per Diem Inc. You understand and agree Doctors per Diem, Inc incurs substantial recruiting, screening, administrative and marketing expenses in connection with identifying Clients and You agree to notify The Company any time the Client company contacts the You directly. You further agree that within twenty-four (24) months from the last date under which You performed professional services under this Agreement or any subsequent addendum or extension to this Agreement You will not, without the written consent of The Company, accept any employment with any Client to whom You were referred by The Company whether or not you provided services under this Agreement. Employment is defined as any work done as a permanent W2 employee, temporary employee or independent contractor, whether obtained through your direct efforts, or through the efforts of another search agency. This Agreement is non-exclusive. Nothing in this clause prohibits You from rendering your professional services in addition to or outside of any assignment we offer you, other than those expressly prohibited by this restrictive covenant.
(3) You agree to use your professional judgement when accepting positions and therefore hold harmless and grant Doctors Per Diem Inc., its officers, directors, employees and agents, absolute immunity from suit for any liability, loss, damage or expense or expense that might result from your acceptance of a temporary assignment, associateship, partnership, or an equity position in a dental practice to which you were referred by Doctors Per Diem Inc.
(4) You grant explicit permission for Doctors per Diem Inc to report suspected infractions of this Restrictive Covenant to the Board of Dental Examiners / licensing authority in your respective state and You grant Doctors Per Diem Inc., its officers, directors, employees and agents, absolute immunity from any suit by you for any liability, loss, damage or expense you might incur from such report.
